Job Title: Company Secretary<\/strong>
We are looking for an experienced Company Secretary who would be the manager\u2019s and company executive\u2019s right hand. As Company Secretary, you will be instrumental in helping the office run smoothly, provide support to managers, senior-level executives, and departments. You\u2019ll need to ensure that our company complies with financial and legal requirements, and maintain high standards of corporate governance. You also need to have a thorough understanding of the laws
that affect your areas of work so that you are equipped to provide appropriate legal advice whenever needed.<\/p>\n\n\n\n

Responsibilities of a Company Secretary<\/strong>
A company secretary\u2019s core duties include optimizing workflow procedures in the office, assisting colleagues and executives in planning and distributing information, and being the point of reference for all queries, requests, or issues. Additionally, as a company secretary, you\u2019ll need to:<\/p>\n\n\n\n

\uf0b7 Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
\uf0b7 Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
\uf0b7 Provide legal, financial, and\/or strategic advice during and outside of meetings.
\uf0b7 Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
\uf0b7 Maintain statutory books, including registers of members, directors, and secretaries.
\uf0b7 Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
\uf0b7 Liaise with external regulators and advisers such as lawyers and auditors.
\uf0b7 Implement processes or systems to ensure good management of the organization.
\uf0b7 Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
\uf0b7 Manage the office space and deal with personnel administration and company\/staff insurance policies.<\/p>\n\n\n\n

Requirements<\/strong>
\uf0b7 A strong understanding of corporate law and regulatory frameworks is foundational. Company Secretaries must interpret and apply legal provisions to ensure the organisation’s
activities meet statutory requirements.
\uf0b7 Strong administrative skills and an aptitude for using IT software.
\uf0b7 Good verbal and written communication skills.
\uf0b7 Commercial awareness.
\uf0b7 Meticulous attention to detail and the ability to work well under pressure.
\uf0b7 Interpersonal skills and the ability to work with people at all levels.
\uf0b7 Influencing skills.
\uf0b7 Excellent organization and time management.
\uf0b7 An ability to take initiative.
\uf0b7 A flexible and practical approach to work.
\uf0b7 Discretion when handling confidential information
